Fly High but not Above me: A Corporate Governance Teaching Case At Smiles

These teaching case aims to analyze the relationship between the minority and majority shareholders of Smiles. It presents a fact in which the parent company, Gol Linhas Aéreas, took some decisions about the subsidiary, such as a change in the dividend policy, advance purchase of Gol airline tickets by Smiles, announcement of non-renewal of contracts between the companies, in addition to reinstatement of the frequent flyer company by the airline. These decisions did not please the minority shareholders and had an impact on the relationship between the two companies. Therefore, the case presents a main dilemma: Should the incorporation of Smiles by Gol be carried out even if the minority shareholders are harmed? The case's pedagogical objectives involve: discussing the implications of the terms of negotiation for minority shareholders; analyze the existence of agency conflicts between companies and analyze corporate governance actions to mitigate possible conflicts. The analysis of the case can be carried out with undergraduate and graduate students from Business, Economics and Accounting courses.
